GOL Equity Finance Launches International Offering of Exchangeable Notes
SAO PAULO, March 14, 2019 /PRNewswire/ -- GOL Linhas Aéreas Inteligentes S.A. (NYSE: GOL and B3: GOLL4) ("GLAI"), Brazil's #1 airline, hereby announces to the market, in compliance with article 156, paragraph 4, of Law No. 6.404/76 and CVM Rule No. 358, of January 3, 2002, that GOL Equity Finance, an orphan special purpose vehicle organized under the laws of the Grand Duchy of Luxembourg (the "Issuer"), has launched an offering of US$300,000,000 aggregate principal amount of Exchangeable Senior Notes due 2024 (the "notes") guaranteed by GLAI and GOL Linhas Aéreas S.A., pursuant to exemptions from registration under the Securities Act of 1933, as amended (the "Securities Act"). The Issuer also intends to grant the initial purchasers of the notes an option to purchase up to an additional US$45,000,000 aggregate principal amount of notes.
Brazil's Gol offers $300m in senior exchangeable notes due in 2024
SAO PAULO, March 14 (Reuters) - Brazilian airline Gol Linhas Aereas Inteligentes SA said in a securities filing on Thursday it has launched an offer for exchangeable senior notes worth $300 million that will mature in 2024. The company also said it may offer an additional $45 million worth of such notes for investors participating in the offering.
